The Board of Directors consists of 9 members, comprising 3 Executive Directors and 6 Non-executive Directors, representing 66.67% of the total number of directors. Of these, 5 out of 9 directors qualify as Independent Directors, accounting for 55.56%, which is not less than one-third of the total number of directors on the Board. This composition ensures an appropriate balance of power in deliberation and decision-making on various matters.
In addition, the Company places importance on diversity in the structure of the Board of Directors (Board Diversity) by considering the composition of the Board to ensure appropriateness in terms of professional skills, knowledge, specific expertise, and experience in related industries. In this regard, the nomination of directors does not impose restrictions on gender, gender identity, age, religion, race, or nationality, and is primarily based on knowledge, capability, and suitability, in order to ensure that the Board possesses diverse perspectives and can effectively support the Company’s strategy and corporate governance.
The Board currently comprises 1 female director, accounting for 11.11% of the total number of directors. The Company has established a target of having at least 30% female directors.
